General Terms and Conditions

Overlink · Version of 6 November 2026

§ 1 Scope

  1. These General Terms and Conditions ("Terms") govern all contracts between Issa A. Tagro, Untere Beutau 22, 73728 Esslingen am Neckar, Germany (the "Provider", "we", "us") and the persons who request access to, install or use Overlink (the "User", "you").
  2. These Terms apply to consumers and to businesses. A consumer is any natural person who enters into a contract for purposes that are predominantly outside their trade, business or profession (§ 13 German Civil Code, BGB). A business is any natural or legal person or partnership with legal capacity that acts in the exercise of its trade, business or profession (§ 14 BGB).
  3. Terms of the User that differ from, contradict or add to these Terms do not become part of the contract, even if we know of them and do not object, unless we agree to them expressly in writing.
  4. Individual agreements made with the User in a specific case take precedence over these Terms.

§ 2 Definitions

  1. "Overlink" means the Overlink software for Microsoft Windows (the "App"), the website at overlinkapp.com, the connection service through which AI services reach the User's computers, the account and update services, and all documentation, in each case in their current version.
  2. "AI Service" means a third-party service the User connects to Overlink, in particular chat services such as ChatGPT, Claude, Grok, Gemini or Le Chat.
  3. "Linked Computer" means a computer on which the User has installed the App and linked it to their account.
  4. "Action" means any operation that an AI Service carries out on a Linked Computer through Overlink, such as reading or writing files, running commands, controlling the browser or reading the screen.

§ 3 Application and contract

  1. The User can apply on the website for a Personal, Plus or Pro licence, for an Enterprise licence for an organisation, or for the Beta. Applying is free of charge and does not create a contract for the use of Overlink.
  2. There is no right to admission. We review each application and decide at our discretion whether to accept or reject it.
  3. If we accept an application, we send the User a licence document or, for the Beta, a Beta agreement (each a "Licence Document"). It states the edition, the number of computers, the price, the start date and the payment details. Consumers receive the information on their right of withdrawal together with it, before they order. The contract is formed when the User accepts the Licence Document, by confirming it to us or by making the first payment as described in it.
  4. These Terms apply together with the Licence Document. If the Licence Document and these Terms say different things, the Licence Document applies.
  5. A licence is personal. It may only be used by the User it was issued to and may not be passed on, sold or published.

§ 4 Account

  1. Certain functions, in particular updates and linking several computers, require an account. The User must give true and complete information when creating it and keep it up to date.
  2. The User must keep their password and linking codes secret and protect them from access by third parties. If the User suspects misuse, they must change their password without delay and inform us.
  3. The User is responsible for all use of their account unless they are not at fault for the misuse.
  4. Each account may only be used by one person. Sharing an account is not permitted.

§ 5 Beta phase

  1. Before its general release, Overlink is offered as a test version ("Beta"). The Beta is only open to businesses within the meaning of § 14 BGB. Applicants must prove their business, in particular by their legal name, VAT ID or commercial register number, website and a work email address. There is no right to admission; we review each application and decide at our discretion. Nothing is payable for applying. Once admitted, the User pays the Beta fee stated in their Beta agreement (currently €600 per company for three months of Beta access) in addition to the fee of their licence, in advance and only from admission. If we end the Beta early, we refund fees paid for the unused part of the period.
  2. The Beta is still under development. It may contain errors, functions may change, be restricted or removed, and data may be lost. We may end or pause the Beta at any time with reasonable notice; in urgent cases, such as security problems, without notice.
  3. The User must not use the Beta for purposes for which failure, errors or loss of data could cause serious harm, and must keep regular backups of their data.
  4. We may ask Beta users for feedback. The User is free to give feedback. We may use feedback to improve Overlink without payment or credit.

§ 6 Services and availability

  1. Overlink allows an AI Service chosen by the User to carry out Actions on the User's Linked Computers, within the permissions the User sets. The scope of functions follows from the description at the time the contract is made.
  2. We aim for high availability of the connection, account and update services but owe no particular availability during the Beta. Interruptions for maintenance, updates or reasons outside our control, such as failures of the internet, of AI Services or of hosting providers, may occur.
  3. Overlink depends on the AI Services and on interfaces of third parties. If a third party changes or ends its service, functions of Overlink may be restricted. This is not a defect of Overlink.

§ 7 Licence

  1. For the duration of the contract, we grant the User a simple, non-exclusive, non-transferable and non-sublicensable right to install the App on the number of computers permitted by their plan and to use Overlink for their own purposes in accordance with these Terms.
  2. Overlink, including its source code, object code, structure, interfaces, protocols, design, texts, images, videos, name and logo, is protected by copyright, trade mark and trade secret law. All rights not expressly granted to the User remain with us.
  3. Copies may only be made to the extent necessary for the use permitted under these Terms, including installation and a backup copy where required by law.
  4. Notices of copyright, trade marks or other rights in Overlink must not be removed or changed.

§ 8 Restrictions

  1. The User must not, and must not allow or help any third party to:
    • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, the underlying ideas, algorithms, file formats, protocols or interfaces of Overlink;
    • change, adapt, translate, arrange or otherwise edit Overlink, or create derivative works from it;
    • remove, bypass, deactivate or weaken any technical protection, licence check, approval, permission, encryption, logging or security function;
    • analyse, intercept or copy the communication between the App, the website and our servers, beyond normal use;
    • use Overlink, or any knowledge gained from it, to develop, train or offer a product or service that competes with Overlink;
    • sell, rent, lend, sublicense, distribute, publish or otherwise make Overlink, an account, a licence or access available to third parties;
    • carry out load tests, security tests or automated mass access against our servers without our prior written consent;
    • use Overlink in a way that violates applicable law or the rights of others.
  2. Paragraph 1 applies only to the extent permitted by law. The User's rights under §§ 69d (2) and (3) and 69e of the German Copyright Act (UrhG), which cannot be excluded by contract, remain unaffected. Before relying on § 69e UrhG, the User must ask us in writing for the information needed for interoperability; we will provide it within a reasonable time where we are obliged to do so.

§ 9 Your obligations

  1. The User may only link computers that they own or that they are authorised by the owner to control through Overlink, and only access data they are entitled to access.
  2. The User decides which Actions an AI Service may carry out with or without their approval. The User is responsible for the Actions they allow or approve and for checking important Actions before approving them. Results produced by AI Services may be wrong, incomplete or harmful, and must be checked by the User before use.
  3. The User must not use Overlink to:
    • access, monitor or control computers, accounts or data of others without authorisation;
    • spread malware, attack systems or networks, or bypass security measures of third parties;
    • send spam, commit fraud, infringe intellectual property or process personal data unlawfully;
    • do anything else that is illegal or violates the terms of the AI Service used.
  4. The User keeps their operating system, the App and their AI Services up to date and protects their Linked Computers by reasonable means.

§ 10 AI providers and third parties

  1. AI Services are provided by third parties such as OpenAI, Anthropic, Google, xAI or Mistral under their own terms and prices. The User needs their own account with the AI Service and pays it directly. Our prices do not include the AI Service.
  2. Overlink is an independent product. It is not made, endorsed, sponsored or supported by any provider of an AI Service. Names of AI Services are used only to describe compatibility.
  3. We are not responsible for the availability, content, results or data processing of AI Services. When an AI Service carries out Actions, the data involved may be processed by that provider under its own terms.

§ 11 Your data and content

  1. Files, programs and other content on the User's Linked Computers remain the User's. We do not acquire rights to them.
  2. Overlink keeps a record of Actions on the User's Linked Computers so the User can review them. We process personal data in accordance with our privacy policy.
  3. The User is responsible for backing up their data. Before letting an AI Service change important data, the User must create a backup.

§ 12 Updates

  1. We provide updates, including security updates, for the duration of the contract. Updates are checked, downloaded and installed automatically unless the User turns this off where possible.
  2. Updates may change, add or remove functions where there is a valid reason, in particular legal requirements, security, technical developments or changes to AI Services, and the change is reasonable for the User. Statutory rights of consumers under §§ 327f and 327r BGB remain unaffected.

§ 13 Prices and payment

  1. Paid licences are available now, billed monthly or yearly. The price stated in the Licence Document applies; it follows the prices shown on the website at the time of the application. Yearly billing costs ten times the monthly price. Enterprise licences for organisations are agreed in a separate contract. Prices for consumers are final prices.
  2. The Licence Document shows the edition, number of computers, price, term, renewal and how to cancel before the contract is formed (§ 3).
  3. The first payment is due within 14 days of the Licence Document, and each further payment in advance at the start of each billing period. Access starts once the first payment has arrived. If payment fails, we may suspend access after a reminder until payment has been made.
  4. Consumers have a statutory right of withdrawal. Information on it is provided with the Licence Document, before the consumer orders.

§ 14 Term and termination

  1. The Beta runs for the period stated in the Beta agreement and then ends without notice. The User may end it early at any time by email; fees already paid are then not refunded. Our right to end the Beta early and to refund the unused part follows from § 5.
  2. Licences run for the period chosen and then renew by the same period, monthly plans by one month and yearly plans by one year, unless terminated before the end of the current period. Consumers may terminate a renewed contract at any time with one month's notice. Termination is possible online through the cancellation button on the website or in the App, or by email.
  3. The right of both parties to terminate for good cause without notice remains unaffected. Good cause for us exists in particular if the User seriously or repeatedly breaches § 8 or § 9.
  4. When the contract ends, the User's right to use Overlink ends. The User must uninstall the App. We delete account data in accordance with our privacy policy.

§ 15 Breach and enforcement

  1. If the User breaches § 8 or § 9, we may block their access and terminate the contract for good cause without notice. Fees already paid for the current period are not refunded where the User is at fault, unless the law requires otherwise.
  2. We will enforce our rights in court. This includes in particular claims for injunctive relief, information, removal, destruction of unlawful copies and damages under copyright, trade secret, trade mark and competition law, as well as reimbursement of the costs of legal action as provided by law.
  3. Where a breach is also a criminal offence, in particular under §§ 106 et seq. UrhG or § 23 of the German Trade Secrets Act (GeschGehG), we reserve the right to file a criminal complaint.

§ 16 Defects

  1. The statutory provisions on defects apply. For consumers, these are in particular §§ 327 et seq. BGB on digital products.
  2. The Beta is a test version. The properties of a test version described in § 5 (2) are part of its agreed quality and are not defects.
  3. The User must report defects to us with a description that is as precise as possible.

§ 17 Liability

  1. We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent we have given a guarantee.
  2. For damage caused by slight negligence, we are liable only for the breach of an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose compliance the User may regularly rely (essential obligation). In this case, our liability is limited to the damage that is foreseeable and typical for this type of contract.
  3. We are not liable for damage caused by Actions that the User has allowed or approved, by AI Services, or by the User's failure to back up data, unless we caused the damage ourselves in breach of paragraphs 1 and 2. Liability for loss of data is limited to the effort that would have been needed to restore it from regular backups.
  4. These limitations also apply to the personal liability of our employees, representatives and agents.

§ 18 Indemnity

  1. If third parties make claims against us because the User has breached these Terms or the law in using Overlink, the User indemnifies us against these claims, including the reasonable costs of legal defence. This applies only if the User is at fault for the breach.
  2. We will inform the User of such a claim without delay and give them the opportunity to defend against it.

§ 19 Confidentiality during the beta

  1. Functions of the Beta that have not been made public, as well as linking codes and internal information we share with Beta users, are confidential. The User must not pass them on to third parties or publish them without our consent.
  2. Sharing the User's own experiences with Overlink, including screenshots of their own use, is permitted unless we ask otherwise for a specific function before it is released.
  3. This obligation continues for two years after the end of the contract.

§ 20 Changes to these terms

  1. We may change these Terms for a valid reason, in particular because of changes in the law or case law, new functions or technical developments, where the change is reasonable for the User. Changes to the main obligations, in particular the price, require the User's express consent.
  2. We will inform the User of changes by email at least six weeks before they take effect. The User may object within this period. If the User does not object, the changed Terms apply from the date stated. We will point out the right to object and the effect of silence in our notice. If the User objects, either party may terminate the contract at the time the change would take effect.

§ 21 Final provisions

  1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only to the extent that it does not remove the protection of mandatory provisions of the law of the country where they normally live.
  2. If the User is a merchant, a legal person under public law or a special fund under public law, the place of jurisdiction for all disputes is our place of business. We may also sue at the User's general place of jurisdiction.
  3. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
  4. If any provision of these Terms is or becomes invalid, the validity of the remaining provisions is not affected. The statutory provisions apply in place of the invalid provision.
  5. These Terms are available in English.
